These Terms of Service ("Terms") constitute a legally binding agreement between you and Synthax, Inc. ("Synthax," "we," "us," or "our"), governing your access to and use of the Synthax website at synthos.tech and the Synthax AI-powered code generation platform, including all related APIs, IDE plugins, and developer tools (collectively, the "Services").
Synthax is incorporated in the State of Delaware and headquartered at 535 Mission Street, Suite 1400, San Francisco, CA 94105, United States.
By accessing or using the Services, creating an account, or clicking a button indicating your acceptance, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.
If you do not agree to these Terms, you must not access or use the Services.
For the purposes of these Terms:
To use most features of the Services, you must create an Account by providing accurate, current, and complete information as prompted by the registration process. You are responsible for maintaining the accuracy of your account information and for updating it as necessary.
You are responsible for safeguarding your account credentials and for all activities that occur under your Account. You must immediately notify us at security@synthos.tech if you become aware of any unauthorized use of your Account or any other security breach. Synthax will not be liable for any losses arising from unauthorized use of your Account resulting from your failure to adequately secure your credentials.
You must be at least 18 years of age to create an Account and use the Services. By creating an Account, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding contract under applicable law.
If you create an Account on behalf of a company or organization, you represent that you are authorized to accept these Terms on behalf of that entity and that the entity agrees to be bound by these Terms. All references to "you" in these Terms apply to both the individual and the entity they represent.
Synthax offers the Services under several plan tiers, including free trials, self-serve subscription plans, and enterprise plans. The features available to you depend on the plan you have selected or been assigned. We reserve the right to modify, add, or remove features from any plan tier with reasonable advance notice.
We may offer a free trial period for new accounts. At the end of the free trial period, your account will automatically convert to the free tier (if available) or require you to select a paid plan to continue accessing paid features. We reserve the right to modify, suspend, or discontinue free trial availability at any time.
Paid subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods unless required by applicable law.
We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Planned maintenance windows and unplanned outages may occur. We will endeavor to provide advance notice of planned maintenance that significantly affects service availability. Enterprise customers are subject to the service level commitments specified in their Enterprise Agreement.
Fees for paid plans are as described on our pricing page at synthos.tech/price.html, as updated from time to time. All fees are stated in US dollars and are exclusive of applicable taxes unless otherwise stated.
By providing payment information, you authorize Synthax (through our payment processor, Stripe) to charge the fees for your selected plan on a recurring basis. You represent that the payment information you provide is accurate and that you are authorized to use the payment method.
We may change subscription fees at any time. For existing subscribers, price changes will take effect at the next renewal after we provide at least 30 days' advance written notice. Your continued use of the Services after the effective date of a price change constitutes acceptance of the new fee.
You are responsible for all taxes applicable to your use of the Services, excluding taxes based on Synthax's net income. If Synthax is required to collect taxes on your behalf, those taxes will be added to your invoice.
Overdue payments may accrue interest at 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower). Synthax reserves the right to suspend or terminate access to paid features for accounts with overdue balances.
You may use the Services for lawful purposes in connection with your software development work, subject to these Terms and any usage limits associated with your plan tier.
You agree not to use the Services to:
Your use of the Services is subject to the usage limits specified in your plan tier (such as API call limits, seat counts, and storage quotas). Exceeding usage limits may result in service throttling, additional charges, or service suspension, depending on the terms of your plan. We will endeavor to notify you before or when you approach plan limits.
You retain all ownership rights in the Content you submit to the Services. By using the Services, you grant Synthax a limited, non-exclusive, royalty-free license to use, process, and transmit your Content solely to the extent necessary to provide the Services to you, as described in these Terms and our Privacy Policy.
Subject to your compliance with these Terms and applicable law, Synthax assigns to you all rights, title, and interest in the Generated Output produced by the Services in response to your Content. You acknowledge that AI-generated code may be similar to output generated for other users and that Synthax does not guarantee uniqueness. You are solely responsible for reviewing Generated Output for accuracy, security, and suitability before incorporating it into your projects.
All rights, title, and interest in the Services, including all underlying technology, AI models, software, interfaces, documentation, and Synthax trademarks and branding, remain the exclusive property of Synthax or its licensors. These Terms do not grant you any rights to the Synthax intellectual property except the limited right to use the Services as described herein.
If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant Synthax a perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate the Feedback into our products and services without obligation to you. You acknowledge that we may use Feedback without restriction and without compensation.
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was rightfully known prior to disclosure; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law or court order.
Enterprise Customers' source code processed through the Services is treated as Confidential Information by Synthax and is subject to the security commitments described in our Privacy Policy and applicable Enterprise Agreements.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYNTHAX AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
You acknowledge that AI-generated code is not infallible and must be reviewed by qualified engineers before deployment in production environments. Synthax does not guarantee that Generated Output will be free from intellectual property issues, security vulnerabilities, or functional errors.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNTHAX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES OR ANY GENERATED OUTPUT, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF SYNTHAX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SYNTHAX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO SYNTHAX IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).
THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, SYNTHAX'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless Synthax, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) your Content; (d) your use or deployment of Generated Output; or (e) your violation of any applicable law or regulation or any third-party rights.
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, that cannot be resolved through good-faith negotiation within 30 days, shall be submitted to final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree that any arbitration or legal proceeding shall be limited to the dispute between Synthax and you individually. To the fullest extent permitted by law, no arbitration or proceeding shall be joined with any other; no class or collective action proceeding shall be maintained; and you will not submit a dispute as a class or representative action.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
You may terminate your Account at any time through your account settings or by contacting us at support@synthos.tech. Termination takes effect immediately for purposes of new activity; paid subscription access remains through the end of the current billing period.
Synthax may suspend or terminate your access to the Services at any time with or without cause, including but not limited to: (a) violation of these Terms; (b) non-payment of fees; (c) conduct that we determine, in our sole discretion, to be harmful to other users, the Services, or Synthax's reputation; or (d) technical, operational, or business reasons. We will endeavor to provide reasonable notice before termination where practicable.
Upon termination, your right to access and use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property ownership, indemnification, warranty disclaimers, and limitation of liability) shall survive.
Synthax reserves the right to modify these Terms at any time. We will provide notice of material changes through the Services, by email to your registered address, or by posting a notice on our website at least 14 days before changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services before they take effect.
Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any applicable Enterprise Agreement, constitute the entire agreement between you and Synthax regarding the Services and supersede all prior and contemporaneous agreements, representations, and warranties.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Synthax's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Synthax may freely assign these Terms.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, or internet infrastructure failures.
